Annex A: Profile of the Kiwi Share Obligations

The original Kiwi Share Obligations (KSOs) were written into Telecom's company constitution prior to privatisation of the company. The KSOs impose several responsibilities on Telecom to the Crown as the holder of a special rights non-voting share (the "Kiwi Share") in Telecom.
The KSOs can be broadly split into duties regarding company ownership and corporate governance, together with duties regarding the supply of local residential telephone service by Telecom.
In 2001 the original KSOs covering the telephone service requirements (service KSOs) were converted into new Kiwi Share Obligations in the form of Telecommunications Service Obligations (TSOs). These are recorded in the Local Residential Telephone Service TSO Deed (TSO Deed) between Telecom and the Crown.
The TSO Deed containing the Kiwi Share Obligations relating to the supply of telephone service was deemed to be a TSO instrument under the Telecommunications Act 2001.
